1. Scope

These terms apply to all wholesale, B2B, distributor, reseller, and partnership orders placed with REM / REMMOTORCYCLE and its affiliated brands ("REM"). They define pricing, discounts, payment terms, logistics, and responsibilities.

2. Pricing & Discounts

All prices are expressed in USD, excluding taxes unless stated otherwise.

• Discounts apply per order and are not cumulative across multiple orders.
• Promotional or exceptional discounts do not modify this scale unless confirmed in writing.

3. Payment Terms

• 100% payment before production and shipment.
• Accepted payment methods: bank transfer, Wise, or other agreed professional methods.
• No credit terms unless agreed in writing.

4. Production & Lead Time

• Many products are custom, semi-custom, or made-to-order.
• Lead times are indicative and may vary depending on workload and suppliers.
• Production starts only after payment confirmation.

5. Shipping Terms

• All shipments are DDP (Delivered Duty Paid) unless otherwise stated in writing.
• REM covers international transport, customs clearance, and import duties to the destination country.
• The buyer is responsible for ensuring the products are legally importable and usable in their jurisdiction.

6. Returns & Cancellations

• Custom and made-to-order products are non-returnable and non-refundable.
• Standard products may be returned only if defective or supplied incorrectly.
• Claims must be submitted within 7 days of delivery, with supporting photos.

7. Liability

• REM is not responsible for installation errors, misuse, or non-compliance with local regulations.
• Fitment responsibility lies with the buyer unless explicitly guaranteed in writing.
• REM’s liability is limited to the value of the goods supplied.

8. Intellectual Property

• All designs, drawings, CAD files, and product concepts remain the exclusive property of REM.
• No reproduction, duplication, or resale under another brand without written authorization.

9. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with law depending on the contracting REM entity. Disputes shall be subject to the jurisdiction of the competent courts of the applicable entity.

10. Acceptance

Placing an order with REM constitutes full acceptance of these terms.
